Plain terms for a small studio: what we build, what each side owns, and what happens if something goes wrong.

These terms

These terms govern your use of this website and, unless a signed agreement says otherwise, the work we do for you. “Specproven”, “we” and “us” mean [legal entity name], trading as Specproven. “You” means the person or organisation using this site or engaging us.

If you engage us under a separate written agreement, that agreement controls wherever it conflicts with these terms. Everything not covered there is covered here.

What we provide

Our work usually consists of some combination of the following:

  • Building a digital product passport for one or more of your product lines.
  • Structuring the product data you send us so it can drive that passport.
  • Generating print-ready QR codes mapped to your serial numbers or SKUs.
  • Hosting the passport, on your subdomain or ours, and updating its content over time.
  • Reporting on scans of your passports.

What is in scope for you specifically is whatever your proposal or order says. Nothing on this website is an offer, a quote, or a commitment to deliver any particular feature.

Sample passports

We build a sample passport from material you send us before any paid engagement begins. A sample is provided as-is, for evaluation. We may take it offline at any time, and we make no promise about how long it stays available.

Building a sample does not create an engagement, does not oblige either of us to proceed, and does not transfer any rights in either direction beyond what section 05 sets out.

Materials you send us

To build anything we need your material: spec sheets, drawings, manuals, part lists, photographs, service records, brand assets. By sending it to us you confirm that you are entitled to share it and to have us publish the parts of it that appear in your passport.

You grant us a licence to store, adapt, and reproduce that material for the purpose of building, hosting, and supporting your passports. That licence lasts as long as we are doing that work for you, and ends when the engagement ends, except for copies retained under section 11.

Please do not send us personal information about individuals, credentials, or anything subject to a confidentiality obligation you have not cleared, unless we have agreed in writing how it will be handled.

What you own, what we own

You own your product data and content, and you own the passport content we produce from it once you have paid for it. On request, we will hand over that content in a structured, portable file.

We own the platform: the code, templates, components, tooling, and design system that every passport we build runs on, together with anything we develop generally in the course of our work that is not specific to your products. Nothing in an engagement transfers that to you, and nothing stops us from serving other clients, including in your industry, with the same platform.

We would like to reference your work publicly, but we will ask first. You can decline, and you can withdraw permission later.

QR codes

Where QR codes are in scope, we generate them mapped to the serial numbers or SKUs you give us and deliver them as print-ready files. We do not manufacture, print, or supply physical tags or label stock.

Printing the codes, applying them to the right units, and checking that mapping before units ship are yours to do, as is telling us when serial ranges change so we can reissue. If a code we generate fails to resolve or is mapped to the wrong serial, tell us and we will reissue it at no charge.

How a printed code holds up in service against abrasion, paint, heat, and sunlight depends on your print process, materials, and placement, and is not something we can warrant.

Hosting, availability and changes

We host passports on infrastructure operated by third-party providers. We aim to keep them available continuously, but we do not offer an uptime guarantee unless your agreement contains one, and we may take passports offline briefly for maintenance.

We improve the platform continuously, which means the look and behaviour of a hosted passport can change. We will not make a change that removes functionality your engagement covers without telling you first.

If we host on your subdomain, keeping the DNS record pointed at us is your responsibility. If we host on ours, the address may change on notice.

Fees and payment

Fees, currency, invoicing schedule, and payment terms are set out in your proposal or order. Unless it says otherwise, invoices are payable within 30 days, fees exclude taxes and duties, and recurring fees renew for successive terms until either of us gives notice.

If an invoice is significantly overdue we may suspend hosting and content updates after giving you written notice and a reasonable chance to settle.

Acceptable use

When using this site or a passport we host for you, do not:

  • Publish content through us that is unlawful, misleading about a product, or infringing.
  • Misrepresent the specification, provenance, or condition of a unit.
  • Attempt to access accounts, data, or systems that are not yours.
  • Probe, scrape, or load-test our infrastructure without written permission.
  • Resell or sublicense the platform as a service to third parties.

Confidentiality

Each of us will keep the other’s non-public information confidential, use it only for the engagement, and protect it with at least the care we use for our own. This does not apply to information that is already public, was already known, is independently developed, or must be disclosed by law. In that last case we will tell you first where we are permitted to.

Passport data and reporting

Requests sent from your passports, and any scan reporting enabled for your engagement, belong to you and are reported to you. We use them to operate and support the service and to produce aggregate, de-identified statistics that do not identify you, your buyers, or your products.

Scan reporting is not enabled by default and is scoped by your order. We do not sell passport data. How personal information is handled is described in our privacy policy.

Warranties and disclaimers

We warrant that we will perform our work with reasonable skill and care, by people competent to do it. Tell us within 30 days if something we deliver does not meet that standard and we will re-perform it.

Beyond that, this site and the service are provided as-is. We do not warrant uninterrupted or error-free operation, and we do not warrant that a passport will produce any particular commercial result. You remain responsible for the accuracy of the product information you give us and for any claims your content makes about your own products.

Liability

Neither of us is liable to the other for indirect or consequential loss, or for loss of profit, revenue, goodwill, or anticipated savings, however it arises.

Our total liability arising out of or in connection with an engagement is limited to the fees you paid us for that engagement in the twelve months before the event giving rise to the claim.

Nothing here limits liability that cannot lawfully be limited, including for death or personal injury caused by negligence, or for fraud.

Term and termination

Either of us may end an engagement on 30 days’ written notice, or immediately if the other commits a material breach and does not fix it within 14 days of being asked to.

On termination: you pay for work performed up to that date; we stop hosting your passports at the end of the paid period; and, if you ask within 30 days, we export your passport content to you. We may keep archival copies where our records or the law require it.

Changes to these terms

We may update these terms. The version on this page is the current one, and the effective date at the top of the page tells you when it took effect. For a change that materially affects an active engagement, we will tell you directly rather than relying on this page.

Governing law and contact

These terms are governed by the laws of [governing jurisdiction], and the courts of [courts] have exclusive jurisdiction over any dispute arising from them.
